Cross border corporate restructuring through mergers and acquisitions involves complex regulatory frameworks across multiple sovereign jurisdictions. National authorities enforce strict foreign investment controls and antitrust regulations to protect domestic economic interests while maintaining market stability. Minority shareholders and corporate creditors often face legal uncertainty due to divergent statutory standards and the absence of unified international adjudication mechanisms. This scholarly study evaluates the normative framework governing international corporate transactions by employing a qualitative legal literature review methodology. The analysis reveals that functional convergence and good corporate governance principles serve as essential safeguards to balance corporate contractual freedom and public interest protection. Harmonizing legislative standards across nations mitigates compliance burdens and minimizes legal risks arising from jurisdictional conflicts. Regulatory bodies and lawmakers must establish cooperative oversight mechanisms to streamline approval procedures and enhance legal certainty for global investors. Ultimately, restructuring corporate law regimes requires a balanced approach that accommodates modern economic expansion while safeguarding stakeholder rights and national sovereignty within the global commercial ecosystem and international financial markets, ensuring sustainable economic growth and equitable wealth distribution across participating countries and fostering robust cooperation among regulatory agencies worldwide.
